Most business owners don’t realize they’re building an asset that may one day be sold—until it’s too late to fix what buyers care about most. In this episode, we sit down with Steven Weigler, Founder and Managing Partner of EmergeCounsel, to unpack what it actually takes to build a business that’s attractive, defensible, and ready for a successful exit.
Steven brings a rare blend of legal expertise and entrepreneurial insight, helping founders protect their most valuable—and often overlooked—assets: their brand, intellectual property, and legal foundation. From contracts to risk mitigation and deal readiness, this conversation reveals how smart legal planning today can dramatically increase enterprise value tomorrow.
Whether you are years away from selling or simply want the freedom that comes from running a well-structured business, this episode will challenge you to think differently about how you build, protect, and position your company for long-term success.

So, I, like most attorneys, you know, I went to law school, and I really had a passion to be a prosecutor. And so actually was a prosecutor in Miami, of all places, and really realized it’s just a good studying career, you know, I did everything to really go into criminal law, and I went into it and said, well, this isn’t really what I thought it would be. And quickly transitioned into technology and got a tremendous amount of experience working for in a at the time it was Telecom was really transitioning, and I got an experience in both technology and brand, and realized that, you know, especially when you’re selling kind of agnostic goods, like it doesn’t really matter that brand putting something around it, a brand of reliability, like what the ATT brand kind of stood for was, it turned out to be their most valuable asset. Regardless, AT and T got bought, I was fortunate enough to get an exit package, as long as I It wasn’t and they had a package in part of the package will give you almost $100,000 to start a business, as long as it’s not a franchise. And so, I really had an interest in predictive analytics, started predictive analytics focused on school districts and forecasting whether students would drop out or not long before they did, using some productive analytics that I licensed from the University of Wisconsin. So, through that, I was really able to get experience in a lot of experience in licensing IP, bringing IP to market again, putting a brand around it, selling business to government, which involves a lot on really difficult to predict cash flow. And so, through that experience, you know, the good, the bad, the ugly, I had to raise a lot of money. I had investors. I had partners at some points; I had to work with school districts. I really learned a lot about how to manage a really difficult business. Ultimately, the company came really close to getting bought. It didn’t. There’s a crazy story behind that, but it didn’t, and I had to really dilute myself to the point that I was kind of irrelevant and got kind of tossed out of my own business.
