Building a profitable business is one thing. Building a business that is financially organized, tax-efficient, and ready for a successful exit is another. Many entrepreneurs focus so heavily on revenue and day-to-day operations that they overlook the financial strategies that can help them keep more of what they earn and position their company for maximum value when it comes time to sell.

In this episode of Build It to Billions, Brett Swarts sits down with Sam Miles, CPA and founder of Guardian CPA Group, to explore how a fractional CFO can help business owners gain greater financial clarity, make smarter tax decisions, and prepare for a future exit. From understanding the numbers behind the business to proactive tax planning and building stronger financial systems, Sam shares practical insights entrepreneurs can use to turn a successful company into a more valuable and exit-ready asset.

Sam

Great. How are you doing?

Brett

Doing great. Good. Good to have some time with you today. And for our listeners getting to know you for the first time, would you give us just a little bit more about your story and your current focus.

Sam

Well, growing up, I wanted to be a chemical engineer, and did internships down in Houston, and decided there’s no way I want to spend the rest of my life doing that. Switched over to accounting because I got pulled into a sales tax audit by the CFO where I was doing my internship, and going through that audit, I ended up saving him a little bit more than $50,000because I noticed some statistical variations that the auditor implored that I didn’t agree with. The CFO was a little nervous when I asked for the meeting with the manager, and after that meeting, he’s like, “Go home, change your major to business. And my dad’s an attorney and a CPA, and he told me if I’m going to major in business, major in accounting because that’s a language of business, and I’m grateful for it every day.

Brett

What a great background! I love that. I love how you had a mentor and a dad who encouraged you, and a and a and a boss who encouraged you to do it, and you follow through. Let’s dive right into the topic at hand, right? Because you are probably one of a rare type of CPA who also provides the CFO services, right? So, I think it’s so important to understand the differences and what business owner who might be listening can you can help them with. So, I guess what’s the number one secret to finding a proactive tax strategist and CFO as a as a as a for the fractional service? What’s kind of your thoughts on that?

Sam

I think it’s getting harder and harder to find great CPAs. We’re all so busy. If you’re good, you are just so busy doing tax returns, and that’s mostly what people think of when they think of their CPA. Is hey, that’s a guy I meet with to do the taxes. Maybe I see him once or twice a year. I think that’s the worst service that we have, and I’m guilty of it as well. Like that we provided to our clients, and recently I merged my firm in with another CPA firm, and I just started answering the phone for the people I really enjoyed working for. And as I gave them more and more time, you know, I got a few of them that said, “Hey, will you be our fractional CFO? And I kind of fell into this by dumb luck. I’m so grateful that I did, and that some of these clients have led my career this shift. And even if I’m just doing your taxes, and we’re another CPA and CFO, and more is assigned to it, we want to be meeting with our clients at least four times a year, either on a Teams meeting or in person. I was just in Austin, Texas, visiting one of my clients. I’m able to fly around pretty easy and be present and get into your systems and see what’s really going on because a lot of the stuff you can do to save taxes. Happens before you even think about filing them, and that’s the stuff we want to get in front of. Like implore the Augusta Rule, make sure you’re doing your board minute meetings during that. Looking at reasonable compensation, all these things that successful businesses that are making a couple$100,000 a year.
